Scope, deliverables, and timelines will be defined in a separate Statement of Work or service agreement for each engagement.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and to use such information solely for the purposes of the project.
Our total cumulative liability for any claims arising out of or related to these Terms shall not exceed the total fees paid by Client to Planit Studio LLC in the three (3) months preceding the claim.
In no event shall Planit Studio LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Planit Studio LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
Except for this express warranty, all services and deliverables are provided "as is" without further warranties of any kind, express or implied.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hidalgo County, Texas.
Client agrees to indemnify, defend, and hold harmless Planit Studio LLC and its members, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Planit Studio LLC shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to:
In such an event, we will notify you as soon as reasonably practicable and resume performance when the circumstances allow. If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected engagement in writing without penalty.
These Terms and Conditions, together with any executed Statement of Work, service agreement, or proposal, constitute the entire agreement between you and Planit Studio LLC with respect to the subject matter herein.
These Terms supersede all prior and contemporaneous negotiations, representations, warranties, and understandings — whether written or oral — between the parties relating to the same subject matter.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
We may update these Terms and Conditions at any time. Subscription clients will receive at least 14 days advance notice of any material changes.
